General Terms and Conditions (B2B SaaS)
1. Exclusion of Consumers (Exclusively B2B Scope)
The Qapta platform (qapta.io) is a Software as a Service (SaaS) tool marketed exclusively to professionals, freelancers, businesses, and e-commerce sellers. By registering and using the service, the user formally declares that they are acting within the framework of their professional or business activity, expressly excluding the application of consumer protection regulations and the consumer right of withdrawal.
2. Authorized Merchant of Record
The sale of subscriptions, payment processing, calculation of intra-community VAT, and issuance of official invoices are fully managed by Paddle.com Market Limited (or, for purchases by US-based buyers, Paddle.com Inc.), trading as Paddle, acting as the Merchant of Record for Armengol Trading, S.L. By making a payment, the user legally accepts Paddle's commercial terms.
3. Trial Period and Cancellation Policy
Qapta offers a fourteen (14) day free trial period without requiring payment details. Once a paid subscription is initiated (Starter, Growth, or Pro plans), the fee will be billed monthly in advance. The user retains the right to cancel their subscription at any time through the control panel. The cancellation will take effect at the end of the already paid monthly period, maintaining access to the platform until that date.
4. No Refund Policy
Given the digital nature of the B2B service and the prior availability of an unrestricted free trial period, Armengol Trading, S.L. will not issue refunds or financial returns for monthly periods already billed, elapsed, or not effectively used by the client.
5. Acceptable Use and Prohibition of Fraudulent Practices
It is strictly prohibited to use the Qapta platform for:
- Sending unsolicited emails (spam), phishing schemes, or deceptive data collection.
- Promoting illegal products or intentionally violating the Terms of Service (TOS) of third-party marketplaces, including Amazon.
Armengol Trading, S.L. reserves the right to immediately suspend or terminate the account of any user who violates this clause, without the right to compensation.
6. Service Availability (SLA) and Maintenance
The service is provided "as is" and subject to availability. Armengol Trading, S.L. will use its best efforts to ensure continuous service availability but does not guarantee uninterrupted operation or assume liability for temporary server downtime due to maintenance or force majeure events.
7. Limitation of Financial Liability
Except in cases of willful misconduct or gross negligence, the total cumulative liability of Armengol Trading, S.L. for any contractual or extra-contractual claim arising from the use of the software shall be strictly limited to the total amount paid by the user to the platform in the twelve (12) months immediately preceding the event causing the claim. Under no circumstances shall Armengol Trading, S.L. be liable for indirect damages, loss of profits, or loss of sales on third-party platforms.
8. Database Ownership
End-buyer data captured via QR codes is the exclusive property of the SaaS client. Upon termination of the service, the user will have the ability to export their entire database in CSV format up until the last second of the contracted subscription period.
9. Applicable Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with Spanish law. For any dispute or litigation arising from this contract, both parties expressly submit to the exclusive jurisdiction of the Courts and Tribunals of the city of Barcelona (Spain), waiving any other jurisdiction that may apply.
